1. Acceptance of Terms

DigitalKortex is operated by Cartontech LLC ("we," "us," or "our"). By accessing and using our services you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Use License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for personal or internal business purposes, subject to these Terms of Service. You may not:

• Modify, copy, or create derivative works based on our services.
• Use our services for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to reverse-engineer, decompile, or disassemble any portion of our services.
• Remove any proprietary notices or labels from our services.
• Transfer your account or any rights under these terms to another party without our written consent.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms.

An account is for one person. Free and Pro accounts are licensed to a single named individual. You may create more than one card for yourself — different roles, languages or ventures — but you may not share your credentials, nor use one account to publish cards on behalf of other people. Where several people each need a card, each of them needs an account: that is what the Team plan is for, and it is priced per person.

Paid plans limit how many cards may be published at once. The current limits are shown on our pricing page. We may unpublish cards above your plan's limit; we will never delete them, and they become available again when your plan allows.

4. Disclaimers

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or free of harmful components. Your use of our services is at your sole risk.

5. Limitation of Liability

To the fullest extent permitted by applicable law, Cartontech LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

Our total liability to you for all claims arising out of or relating to these Terms or our services will not exceed the greater of the amount you paid us in the twelve months before the claim arose, or one hundred US dollars (US$100). This limit applies however the claim arises, and applies even if we were told that the loss was possible.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

6. Indemnification

You agree to indemnify, defend and hold harmless Cartontech LLC and its officers, employees and agents from any third-party claim, demand, loss, liability or expense (including reasonable legal fees) arising out of:

• Content you publish through our services, including any claim that it infringes someone's intellectual property, misrepresents your identity or affiliation, or is defamatory.
• Your collection, storage, use or transfer of other people's personal information through our services, including contacts captured by your cards and anything you send to a connected CRM or webhook.
• Your breach of these Terms, including the requirement that an account is used by one person.
• Your violation of any law, or of the rights of a third party.

We will notify you promptly of any claim we seek indemnification for, and we will not settle it in a way that imposes an obligation on you without your consent. You may control the defence with counsel reasonably acceptable to us, and we may participate at our own expense. You may not settle a claim in a way that admits fault on our part, or that binds us to anything, without our written consent.

7. Where We Offer the Service

Accounts and paid plans are offered to customers in the United States and Canada. We do not currently sell our services elsewhere, and prices are quoted in US dollars with tax included.

This is a statement of where we operate today, not a permanent limit — we expect to serve additional countries as we register to collect tax in them, and this section will say so when we do.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Texas/United States of America, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Fort Bend County.

9. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of significant changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of our services after changes are posted constitutes your acceptance of the revised terms.
